Introduction
This Terms of Use Agreement (the "Agreement") constitutes a legally binding agreement between The Socialite LLC, a limited liability company organized under the laws of the state of Delaware ("MotionSubs"), and the client, whether personally or on behalf of an entity ("Client"), with regard to access and use of MotionSubs' website: https://www.motionsubs.com (the "Website") and any related media forms, channels, or mobile applications connected to the Website.
By using the Website, the Client agrees to all the terms and conditions in this Agreement. If the Client does not agree to these terms, the Client is required to discontinue the use of the Website immediately. All obligations of the Client to pay for services rendered by MotionSubs shall remain and continue to be an ongoing obligation owed by the Client.
1. Intellectual Property Rights
Unless otherwise indicated, the Website and all its content—including but not limited to source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics (collectively, the "Content")—are the property of MotionSubs. The trademarks, service marks, and logos (the "Marks") are also owned by MotionSubs and are protected under copyright, trademark, and other intellectual property laws.
Except as explicitly stated, no part of the Website or Content may be copied, reproduced, republished, transmitted, or distributed for commercial purposes without MotionSubs' prior written consent.
2. Ownership of Materials
All design and original source files created for the Client ("Projects") are owned by the Client. Upon full payment, the Client shall own all rights, including copyright, to the Project. In cases where any operation of law would cause MotionSubs to own a Project, MotionSubs irrevocably assigns its ownership interest in the Project to the Client.
The Client warrants that any materials provided for the Project do not infringe upon any third-party intellectual property rights.
3. Subscription Services and One-Time Purchases
MotionSubs offers:

  • One-time purchases: Services rendered for one-off projects are final and non-refundable after delivery unless otherwise agreed upon.

  • Monthly subscription services: Clients may subscribe to recurring services billed on a monthly basis. Subscriptions will automatically renew unless canceled before the next billing cycle.

4. Cancellation and Refund Policy
Clients may cancel their subscription services at any time; however, cancellation is effective at the end of the current billing period. No refunds will be issued for the remaining days or months in that billing cycle. One-time purchases are non-refundable after delivery.
5. Third-Party Tools and Fonts
In cases where third-party fonts or software are incorporated into a Project, MotionSubs will notify the Client. The Client is responsible for acquiring any necessary licenses for the use of such third-party materials in the Project.
6. User Representations
By using the Website, the Client represents and warrants that:

  • They have the legal capacity to enter into this Agreement.

  • They will not access the Website using automated or unlawful means.

  • Their use of the Website will comply with all applicable laws and regulations.

7. Prohibited Activities
The Client agrees not to:

  • Use the Website for any unlawful purposes.

  • Disrupt or interfere with the Website’s services or security features.

  • Engage in activities that violate the intellectual property rights of MotionSubs or others.

8. Limitation of Liability
MotionSubs is not liable for any direct, indirect, incidental, or consequential damages arising from the use of the Website or services provided. This includes, but is not limited to, loss of profit, data, or business interruptions.
9. Governing Law
This Agreement is governed by the laws of the state of Delaware, without regard to conflict of law principles. Any legal disputes will be settled in Delaware courts.
10. Modifications
MotionSubs reserves the right to modify or discontinue any part of the Website or services at any time without notice.
